Common causes for DDR2 Dual Channel Failure?

I bought a pair of 2x1GB G Skill DDR2-533 PC4200 RAM running on a ECS P965 Mobo.
Computer crashes randomly whenever I do CPU intensive tasks. Anyone know why?

Prime95 errors within 5secs on "Blend" mode
Memtest ran for 2 hours without problems.
Computer crashes randomly when CPU intensive tasks run(ie. resampling of image files)
