Cold boot vs Warm boot, ultra66 & XP?

Has anyone found a cure for why cold boots always load fine and warm boots get to the ultra66 "bios not installed" message forcing reset and then it loads fine.. I shut down comletely 4 times and then restarted waiting only around 8 seconds from when it shuts off and hitting the power button, everytime it loads perfectly... but if I hit the restart from XP it hangs at boot up saying there is no operating system after getting the "ultra66 bios not installed message"... seems incredibly strange it does this.. I tried moving the boot order, resetting the card in a different slot, cleaned all connections and upgraded my MB bios, card, HD and all cables are original Dell stock that came with this system 2 years ago.. this only started after doing a fresh install of XP Pro..
