i want to get this Zalman right away but i think its wider than the stock p4 cooler & im afraid it wount fit due to the motherboard & psu clearance 🙁 is this heatsink really have a clearance installation problem when installed to a standard atx casing?

another questions. my p4 2.4Ghz is running around 60-62degC on load.. will it really gve a signicant decrease in temps even if il use it on silent mode? how much possible decrease would it give?

The Zalman will fit most MB's because of how it is narrow at the bottom, and the fins taper wide as you go away from the motherboard (if that makes any sense). What that allows it to do is clear any capacitors/etc that might be right around there. I have the CNPS7000-Cu and it fits easily into my IC7. You didn't mention what MB you have though, I believe Zalman has a motherboard compatibility sheet on their website.

As for temps, first you don't need to run the thing in silent mode, under normal mode the thing is still alot quieter than the stock Intel HSF. But if you do run it in normal mode, that 62C load temp I would estimate would drop to around 52-54C. With my 2.8C oc'ed to 3.4, and Intel cooling, my load temp was 68C, now with the Zalman it is 53C, idle temps differences were less noticable, 4C cooler with Zalman.
