CMMCTRL error during 98 upgrade

Ok, I'm trying to update this system for a friends grandparents.

They had it upgraded to a Cel733 in an i815 board a year ago, but it is still running in 95A.

They have Prodigy internet, which now requires them to switch to SBC Yahoo, which requires 95B or greater.

They want XP, but it will not upgrade from 95A. I am thus attempting an upgrade to 98, from which I hope to update to XP.

However, the 98 (1st ed.) upgrade dies at the PNP hardware detection with an MSGSRV32 GPF in COMMCTRL.DLL

I have removed all cards from this board. Nothing but CPU, 1 stick of 128 SDRAM, HD, Floppy, CD-ROM, and 815 built-on video.

Any ideas? Any help greatly appreciated.
