Cheapo motherboard battle

Okay, I did a case transfer and my old motherboard doesn't fit right. I have changed parts around before, but never a motherboard so ram timings and FSB are foreign to me. I just want a cheap motherboard which will work with some upgrade room. I don't want to buy new ram as well yet so I found these two on newegg that'll work with ram I have:

I'm using a pentium 4 3ghz right now, but plan on getting a core2 at some point. I'm leaning towards the gigabyte mainly because it has more reviews and the brand. However, the listing that you need to overclock to hit a fsb of 1066 bothers me. I'm wondering if that'll be an issue such as that will force ram to overclock as well and etc..?

If you want to overclock, get a regular 965 or p35 board without onboard video. Most micro atx boards with onboard video have limited bios adjustments, and run a little slower. But for a cheapo system, the gigabyte board should work fine.
