Cheap powerful motherboard and cpu

I am looking at upgrading and have decided on the following:

DFI NF4 Infinity nForce4/asrock dual sata The DFI is $16 more
oem opteron 165
total price:361 before shipping/tax

would it be better to go retail on the processor? Also I want to overclock the 165, whic board would be better? I know the asrock can only get to 2.4 ghz with an opteron 165, and it can be upgrade to the m2 socket. I didn't get as much info about the stripped down dfi and the opteron 165. I suppose the dfi is better at overclocking, but I'm not sure. Also what would be a good heatsink to overclock the 165?
I also have an Allied 400w powersupply and 1 512 stick of Corsair platinum xls 3200 ram and one 512 stick of Kingston Hyper-x 3200 ram. Would either the powersupply or mismatched ram hinder me?

Maybe yes on the mismatched memory and the power supply, if using a high end video card. The best test (besides memtest) for mismatched memory is installing windows while the system is overclocked. If you can install windows without bluescreens, then your setup is pretty stable. If you have any stability issues with the power supply, then list your budget and get back here. There are some great ps for around $50 in the 450w range.
