Changing motherboard and chip

This may be a stupid question, but I'm really curious about this.

If I were to go from a Asus p4c800-E Delux mobo with a P4 2.8Ghz to an AMD mobo and chip; with all else staying the same (as in reusing memory, hardrives, vid card, DVD/CD, etc....); would I need to format my HD and reinstall Windows?

I'm pretty sure you would have to in order to prevent motherboard chipset driver conflicts. Also, I think Windows XP will complain if it finds that you're using a different motherboard, forcing you to format anyway.
