CD or NOT to CD is the question for an upgrade help plz

OK This silly laptop has melted down winblows ME for the last time, the CD is out of comission BUT they put the cd key on the bottom of the laptop, if i buy windows xp home UPGRADE and use this key code, will it ask me for the cd cuz i aint got it. . thanks
 
Unfortunatly that is how the upgrade cd's work for windows xp, it will ask you for the cd if you do a fresh format. If you start the xp upgrade from within windows me it will not ask for it
 
All you need is someone with the original cd from like 98 or 2000 and use it to let you install xp. Then you are golden.
