Case and Ambient Temps too high?

Would case and ambient temps of about 39-41C be considered too high?

This is the new system I built, and I am having overclocking stability problems that I think are related to heat.

A64 3000+ Newcastle with Zalman 7000A-AlCu -
DFI Lanparty UT NF3 250Gb
512MBx2 Crucial Ballistix PC3200
PNY Geforce 6800GT
Sound Blaster Audigy2 ZS
NEC 3500A DVD-RW
Seagate 7200.7 200GB SATA
Antec NeoPower 480
Thermaltake Tsunami Dream Case (Front and Rear 120mm)

I am unable to overclock both the CPU and Video card at the same time. Both seem to be ok when I leave the other at stock. Motherboard has a working AGP lock. I did notice that when I pulled the side panel off and ran tests with both overclocked, it didn't crash. Thoughts that could help me? I don't want to leave the side panel off if I can help it.
 
I have been thinking about doing that. However, are my temps too high to begin with, or are they pretty normal for my setup?
 
well I'd say that your case temp shouldn't be more than 10c above your ambient temp. Mine is around 5 over and I have two front 80s intake, two side 80s intake, and two rear 80s exhaust.
