Ok here's what's going on. When I power up, it goes to the the splash screen, green bars move for a few seconds, screen goes black for a second or two, then reboots. According to MS, this is symptomatic of a missing or damaged Kernel32.dll file. I replaced the file but it still doing the same thing. Thinking maybe my registry got corrupted, I deleted the registry files and loaded the one that was created during the initial setup of XP. Same thing..

I can't boot in safe mode either. The last item on the screen before it reboots is mup.sys.

I don't know what to do next. Anyone have any ideas or suggestions?

This in on a 80Gig drive partitioned 25Gig OS/Apps, the rest data. Both formated NTFS. Question: if I reinstall XP in c:\ will I still be able to access my data on the other partition?

Thanks. And if you have any ideas please help me out.

Boot with your XP CD and proceed as if you want to install XP. (Dont choose the repair console)
Xp will detect your existing installation and give you the option to repair or new install.

If you choose to repair, XP will go through the install procedure and you get all the welcome to XP screens etc. Dont worry though, as all your preferences/settings and installed software are intact and hopefully your Xp will be fully functional again.
