Can't install Netgear fa312 NIC

I just got my new netgear fa312 pci card. I'm running win98se on an Athlon classic with Abit ka7. When I go to install it. Windows can't find the driver. It says "fa312nd3.sys cannot be found. Please insert the fa312 fast ethernet pci card disk into drive a" This is extremely frustrating because this should be easy.

Can anyone offer some advice?

Change PCI slots. However, it could be a bad card. I got a fa311 that did that. Tried 5 PCI slots in 3 computers, same error. Got replacement card, worked like a charm.
 
I actually got two cards, so I'll try the other one. If that doesn't work, I'll try different slots. I guess I don't understand how that will help windows recognize the driver tho.

Finally got it to load the driver. Did it thru "other device" rather than network adapter.
