Can't get PCI Nvidia MX4000 and SB Audigy to work on Gigabyte 965 S3

IS anyone out there using the same components in their box with success. The computer won't post when either of these cards are installed. I believe it is because of their pci revision but I have a Matrox Mystique card from 1997 working fine in right now.

Thoughts?
