Can't Boot with Visiontek Geforce3 Ti200

Ok, I jumped on the wagon and got the Geforce3 Ti200 at BB.

Problem is, I can't get it to work on my comp! I'm no hardware dummy, i've installed dozens of cards before, this one has me stumped.

Inserted Card, Booted.. Computer hangs mid-boot.
reboot.
Computer hangs at network login screen.
reboot.
Boots ok. Install Geforce3 Ti200 drivers found in Win98-ME dir, i believe it's Nvagp.inf
Reboot.
Now it's freezing about every other boot. When it does boot, it's in 640x480/16 colors.. default VGA settings
everything looks ok, i guess, not including the crappy res and freezing. But as soon as I try to increase either resolution or color, comp freezes, reverts back to default VGA.

I guess couple things to be of concern. Manual says no sharing of iq ports, modem is shared on port 11, but i can't change it. (won't let me)
EDIT: tried with no other PCI slot's in use. that's not it.

Also last time i tried to install Geforce 2 GTS, never got that to work properly either, it ran choppy, had to return, but that was an older mobo.

Anyone else have insight/advice?
install via 4-in-1 again after install? detonator drivers? i'm stumped.

System Specs:

PIII 667 /w 256 MB RAM
Win 98 SE
Tyan S1854 Trinity 400 Mobo (recently purchased)

Does it hang if you boot in Safe Mode? If not, most likely it is a driver/registry issue. Check in device manager to make sure there aren't any resource conflicts. Also, after booting in Safe Mode, delete any devices in Device Manager that appear twice or you know are no longer installed. If that doesn't work, I would try uninstalling the drivers and VIA 4-in-1 drivers. Also download and install Nvidia's latest certified driver, which I believe is 21.83.

Same thing happened when I go over 512MEG with any video card with this Via chipset motherboard I have. With a radeon it's ati.inf and the same nvidia.inf you described if a Geforce card. I just use 512MEG and everythings fine.

I do know it has something to do with has the Bios/Via drivers/ SB Live! interactions but I gave up after it totally FUBARED my XP OS after one of the reboots I did when trying to use 784MEG. It sux your having a problem at 256Meg.

Also try removing all your other cards except for video becuase it could be a problem if your using a SB LIVE! sound card. I think the VIA chipset has a serious problem with memory management and IRQ steering.
