Can you run dual Xeon 2.8ghz on a 350W Power Supply?

I have a server case that has redundant hot swap 350W power supplies.

I want to put an Asus Dual Xeon 2.8Ghz 533fsb motherboard in it with 2 SATA Hard Drives.

Do you think the PSU can handle it?

Note: I do not need any cd rom drive, floppy drive.

I'm pretty sure the 2.8 GHz Xeons are 'Northwoods' (.130nm, vs 90nm for the newer P4's), meaning about 30% less heat consumption per chip compared to the newer ones, so if the PSU is of good quality, it should be able to handle the dual CPU setup.

Does the PSU have a brand, or is it generic? If it's just a generic PSU, then I'd recommend a good quality 400W+ better brand PSU for longterm stability.
