(i don't want to mess up windows on computer one):

computer one has 3.2C northwood, computer two has 3.4C northwood and i would like to switch processors between them, would i need to reinstall chipset drivers or anything? both boards have the 875p chipset, current bios, chipset drivers and XP Pro

note: computer one board is intel d875pbz and two has p4c800e dlx

i was thinking i could (carefully) pull out the HSF with cpu and swap...is this just

It will swap just fine, but I'd recommend setting the fsb to 200 before pulling the old CPU out, just for stability sake...

Should switch without a problem . the bios cpu settings will revert back to default when u installed the new cpu.

I don't think the switch is a problem.. But I bet that XP Pro will see a different hardware configuration and want you to re-register. Hardware is somehow kept track of and if you upgrade or change hardware, you'll get a problem until you re-register.
