I just bought win 7 ultimate and installed 64 bit on my main machine. But could I also install it on a 2nd machine if I never let it on the net?

It's going to require you to do a phone activation, so you will need a 2nd key.

Technically, yes, you need a second key. In reality you can use the same key several times on different machines. This is however a breach of the EULA and illegal, and could result in your key getting disabled, should you get caught.

Too bad there's no discount when buying two keys. Many don't need a "family pack" but still have two or three computers (such as a desktop and a laptop). Microsoft would benefit too if users paid something for the second license instead of pirating the OS or just sticking with XP...
