Its impossible to understand the error messages unless you are a microsoft engineer. Even then I don't believe they tell ya whats wrong.. When does it appear?

A semi-educated guess tells me that this has something to do with networking. Do you have a nic?

Reason I'm saying that is that ndis.vxd seems to be a file that is always needed when I do some network changes. But maybe my memory is failing right now, so don't hold me to it.

what exactly is ndis anyway? i have gotten 2 ndis.sys bluescreen errors since i installed win2k... incidentally my only 2 crashes since the installation. win2k rules over win98 in terms of stability...woohoo just lovin it.

I cant tell you exactly what the error means, but it an error in your network stack. Either you have corrupted information, conflicting devices, or your bindings are not set properly. Do your self a favor, clear everthing out of your network settings, all services, protocols, and adapters, and start over, should take about 20 minutes.

if all else fails, move the netcard to another expansion slot. for some reason, my old comp was like that. don't know why.
