c000021a Fatal System Error during XP install

Just got everything put together and am moving on to installing XP. The HDD formats fine and then XP copies its installation files. The system reboots and goes through the splash screen.

Then it brings up a light blue backround like it is going to the main installation screen but before it gets there I get the error in the subject.

Anybody know what this error pertains to?

The windows logon process system process terminated unexpectedly with a status of 0x00000080 (0x00000000 0x00000000)
The system has been shut down.
 
Dual Xeon 2.2
2 gigs PC1600 (2x1024)
Plextor UW 40x CDrom
Old Maxtor 8 gig drive until I can get 80-68 adapters for these scsi drives I got

That's everything, all the other hardware is built into the motherboard, dual NIC, u160 scsi, etc. but I have no expansion cards installed.
 
I think one of the sticks of memory is bad. As it has to be installed in pairs I guess I am SOL at the moment.

Could that error be explained by bad memory?
