Build Advice (Work)

So, I'm looking to build a work computer/server.

I do web development and my client's setup consists of a variety of virtual servers (VMWare). Currently, when I do development, I run the VMWare software on my personal desktop, which works great except:

a) I can't do anything else on my desktop in the meanwhiles (like play games, tv, etc)
b) I can't work anywhere but at home. Its not that I'd need to bring all my desktop's peripherals along, it would just be a huge hassle to unhook and rehook all that stuff.
c) My desktop doesn't have the virtualization bit or whatever that I hear the new CPUs have, I don't know if this really matters. (Current system is overclocked Opteron 165)

My current budget is around $1000 bucks, for the work computer, however I'm open to spending more money on parts for my personal computer, and then shifting the old part to my work computer.

I live in USA (California), and have a slight preference towards nVidia, and a passion for Seasonic.

I have a variety of hard drives, and keyboards, mice, monitors, so those parts are not needed. My desktop currently has a nVidia 8800GTS 640meg

I'll probably overclock my CPU. (Not GPU)

Also, silence/quiet is a real important aspect.

Here is what I am thinking about:
Case/Mobo/PSU: Shuttle SP35P2 (P35 based motherboard)
CPU: Q6600
Ram: 4x1gb DDR2 800
Video Card: I don't know. I'd like to be able to play games on it if needed, it just wont be my primary gaming computer.
Hard Drive: Going to give it an old 74gig Raptor + a 320 gig storage drive (Samsung SpinPoint)
Sound: Onboard

Basically, my concerns are that the Shuttle case might be a bit noisy, and since I don't really need it's small size, it might be overkill.

I also don't know what to do about a video card, cause I feel kind of dumb buying a new video card that is slower than my current (over a year old) video card.
