BSOD When exiting NASCAR 2K2

I am getting bsod when exiting NASCAR 2002.(winme) I get an exception error 0D in VxD yadda yadda, and the thing freezes. Have to hold the power button to turn off. This game will run fine on my other rig.(winxp) I have installed and uninstalled several times. Am in the process of reinstalling the OS now. The game runs fine except when I try to quit. Can anyone help? 1.2 Tbird,Abit kt7a,512 ram, Phrophet II Geforce 2 64 mb video card. Philips psc702 sound.
