Boxing as a workout?

A few years ago I bought a "Sugar Ray Slam Man" from an Infomercial with the hopes of becoming a bad ass (didn't happen) I wanted to get back into using it. It really seemed to give me a good workout, especially with the footwork.
I know some of you on here are fitness gurus. Here is the effect I'm after

tone up a bit
muscle up a bit
increase my stamina.
I DON'T want to loose any weight, I'm 6 foot about 205 pounds. Infact I want to actually put a bit of bulk on. My goal is around 225-230

My diet sucks, I am willing to change it somewhat, but I'm not trying to loose weight so I'm wondering how this will effect my goals?

I was planning on getting some weights too, right now I have 50 pound hand ones (25 x 2)
If I do 45 minutes a day boxing, and about 20 weight training, would I see decent results after a 3-4 month span.
Like I said, I eat "fat" foods. I can cut out some carbs no problem, I'll even try some Protein Shake stuff if any of you can recommend a cook mixture that doesn't taste like poo.

My end results, I want a six pack (or just real firm abs) a little size on my arms, nothing outragous, seeing how I won't be in the gym 1/2 my day 🙂 Something like 45 - an hour or so, 5-6 times a week.
I could even do some morning jogging. What else should I do, aside from the boxing/stretching/weights.

sorry if this is stupid, flame away. But I'm a n00b when it comes to trying to get into shape.

ideas for a workout for a person who hasn't worked out in ages, and doesn't want to eat veggies all day? 🙂

I just saw a special on MTV after I posted this, oddly enough about a body builder and a future football player.

the football player was eating tons of Bagels & Doughnutts to bulk up, I think I can handle that

As dumb as this sound I want to look in shape more then actually be in shape (is that even possible?)

I want muscles, but I also want to still eat Chili Cheese Fries and stuff. I'm not under the illusion that working out magically makes a bad diet okay ha.
