I have wanted to go to ghz for a while but I prefer dual so I am stuck at dual p3 800 and before that single athlon 800 classic and before that dual p3 550 512kb cache cpus.

I bought a tbird 200fsb 1.2GHz for my server to replace my Duron 700MHz that just wasn't cutting it. I bought some compound and a sim with it and I plan on using the fan and heatsink from the Duron on it.

1)Do I put compount on both sides of the shim?
2)Anything I need to know.

The server is in my basement at my house so it stays cool there.

DON'T put any thermal compound on the shim. You will get better cooling without the shim if you dare. The four feet on the ceramic plate should protect the CPU die if your are carefull when installing the HS. Thermal grease only goes on the CPU die.

In fact, most say not to use the shims at all, just be very careful installing your heatsink.

One word of advice - Make sure your heatsink/fan is rated to a 1.2 Ghz t-bird. It produces a LOT of heat and your current setup might not be able to handle it.
