Blue Screen error C0000221 Unknown Hard Error

Hello ok I am trying to reformat my computer. I am usuing the dell windows xp cd that came with my computer. When I boot up my computer to run of the cd rom drive it says that windows is loading setup files and it loads a bit and then when its done i get an error saying

C0000221 Unknown Hard Error systemroot\system32\ntd.dll

It freezes my comp and doesnt let me continue to reformat. I have no idea what to do if someone can please help me that would be great. THanks
