Bizarre Abit AX8 moboard issues.

Whilst trying to build my new computer, I've run into a bizarre problem. I can't POST the machine. I've tried a variety of different configurations and nothing seesm to work. These are the system specs:

Abit AX8 3rd Eye
AMD 3000+ Venice 939
Corsair ValueSelect 2x512MB Kit
MSI 6600GT 128MB PCIe (not installed, using a generic PCI card for now)
Segate 200GB SATA HDD (not installed)
LG DVD burner (not installed)

When the machine does in it's present configuration is POST partially, and just after it find all the RAM (or so it appears on the montor), the system reboots. Sometimes when it reboots it will get back to the same step then reboot, but usually it doen't make it that far before it reboots. It will just continue to reboot until I stop it buy shutting off the PSU.

I've tried a couple of things: cleared the CMOS with the jumper, cleared the CMOS by removing the battery then shorting the jumper, tried turing the system on without the CMOS battery in (suggested by a former tech friend), switching the RAM DIMMS around in their slot. For a single DIMM I've tried both slot 1 and slot 4, neither let the system proceede farther, but it did find all the RAM before it rebooted. For both DIMMs I've tried them together in slot 1-2 and slot 3-4 and slot 1-3, In slot 1-3 it finds all the RAM, but when it's in 1-2 or 3-4 it does not.

The only other idea of what's wrong is the heatsink isn't set on the processor correctly and it's rebooting the system (or trying to shut it down) before the processor overheats. However, according to the directions included with the heatsink (it was a Retail proc so i'm using the AMD recommended sink) it's installed correctly. The other thing is the system is hooked up to a 300W PSU of somewhat unknown quality. I believed it powered my P4 system for a while, but that's not nearly as power hungry as this system could be.

Any ideas?

Put the MB on a non-conductive surface (remove from case).

Try a known good PSU. Flash the BIOS to version 1.1. Reset CMOS. Put RAMs in slots 1 and 2. Install PCI-E video card. Connect new HDD. Connect floppy drive but DO NOT install floppy in PC, yet. Also run Memtest 86+ to test RAMs.

MAKE SURE you have connected all three power leads to the motherboard. The molex connector at the bottom of the MB should be attached to the PSU.
