Biostar m7vig-400 w/ sempron wont boot up

Bought a biostar M7VIG400/sempron combo from newegg because it was pretty cheap and I needed a web browsing pc. For some reason when I try to boot it up, it sometimes get farther than others. Sometimes it would get stuck in the biostar screen and sometimes it would get to the boot up devices but crashes before it tries to boot from cd. I thought it was the ram but I've tried 4 different types of ram on it already and some would go further than the others, but still all end up freezing. I tried to update the bios to get rid of the annoying Biostar logo screen, but it crashes when I try to update the bios. Good thing it didnt crash when it was actually writing into memory. After I tried changing the timings to the maximum, it says "system had to reset due to cpu overclock settings." The FSB is set correctly at 333, so I'm not really sure whats wrong. Any ideas?

Depending on the RAM, you might have to go into the CMOS settings to up the voltage of the RAM - 2.6v to 2.75v should be safe. Start low, then increase by the smallest increments.

See if that helps, if not, then post back

To test the RAM, dl Memtest boot disk, run it for each stick [one at a time] for a minimum of 8 hours.
See what errors come up.

It won't necessarily mean the RAM is faulty if you get errors - but it will narrow it down to PSU/Mobo/RAM.
If you run it again and get exactly the same errors, then you can take the psu out of the equation, and possibly the mobo as well.
