Better matx board for conroe 4300

i've got an ultra matx case that needs a matx board and saw these two for a good deal. i would like to overclock a little and won't be able to buy a video card for another 3-4 months. can you guys help me choose the better board? thx

I would def recommend the 965 board. It's a newer chip set, that should be able to over clock better, and the onboard video will be a little bit more tolerable.
