best value mobo for xp and p4

Alright, so currently i have a dell p3 733 using rdram. All i want to do is to swap out the processor, motherboard, and ram(if i go the xp route and if i stick to p4, then i resue my current rdram). What's the best value (under 200 total for mobo and proc) motherboard i can get to pair up w/ a good proc and still stay under 200$. I want on board video, sound, and lan if possible and i will probably upgrade to a ti4200 in the near future...but i still want good on board video. So should i go the xp route and dump my ram or go with the p4 route? I also want a board that will be easily overclocked too. Any help will be appreciated. Thankyou!
