Bang for the buck

Okay, looking to upgrade and I thought I'd ask the experts.

Currently I have:

Athlon 1600XP
MSI k266a (something like that, needs replaced w/ new cpu anyway)
384MB of DDR 2100
nVidia 5900XT

As you can see, decent video card but the CPU/MB is getting a little long in the tooth. I would like to upgrade the CPU/MB to get the most bang for the buck. I want to spend in the neighborhood of $100 for CPU and less than that for the motherboard.

I've heard rumblings that the athlon XP mobile processors are great overclockers (and still unlocked) when combined with the abit nfs-7 board. Comments?

Get an Athlon XP-m 2400+ and an NF7-S, DFI Infinity series board, or an Asus A7N8X-E Deluxe, any of those will work well.

Specifically what features would be lacking?

I don't need built in LAN or Sound. I would like to have the ability to clock lock the PCI and AGP bus.
