bad cpu???

i just received my AMD 1.4 Gighz Athlon Tbird today, and after uninstalling my 1Gighz Tbird, which was working perfectly, I installed this sucker, put on heatsink/fan, and turned on my cpu, everything "sounded" normal, until i got this nasty long beep noise....and then my computer would shut off. so i did the CMOS trick, and still got the same thing. So then i took out the processor and reseated it, and tried turning on the cpu again, this time it beeped for awhile and kept running, and then i pulled the plug when i smelled that burning flesh smell...so i'm assuming that thing is fried??? was this just a bad cpu altogether, or could it be something else.......my heatsink fan came on, as did my motherboard fan, and my vid card fan....and my RAM light turned on...here's my system setup

Abit KT7A, bios flashed to handle 1.4 Gighz
300 watts AMD approved power supply
ATI Radeon Vivo 64 mb ddr
1 Gig pc133 Ram
WD 7200 30 gig HD
linksys nic....

that's all i've got in there right now....was going to install my pci512 sound card after i got this working....thanks for any hints and advice guys...

I almost hate to ask but did you take the plastic cover off of the heatsink thermal pad? Sounds like a cooked processor.
Did you use the same heatsink fan from your old processor? If so did you redo the heatsink compound?

Did you try the other CPU Fan header? I believe, depending on the bios, that only one will work, the other will give you
the problem you are having.

i used the new heatsink that came with the 1.4, and i did try 2 different fan header's....both to no avail...and yes i peeled the plastic cover off the thermal pad ;) i've contacted newegg, so i'm hoping they approve my return authorization....
