Ati MCE video problems......

I have the following:
ASUS A8N-VM CSM mobo
ATI x800xl pci-e vid card
1 gig Ultra PC3200 ram
onboard sound
onboard lan
350watt Antec PSU
80gig IDE WD drive

Now the pc won't reboot on a 'restart'. It has to be a hard boot. Then once i try to start the media center , it will get all flickery and the ATI VPU recovery window comes up.
Have all of the latest drivers for everything. Can't figure out what the problem is.

Any help and guidance is greatly appreciated.
