Athlon II 240 & 8800GTS 512

Upgrading my CPU to a Athlon II 240. My question is generaly gaming will that CPU fully unlock my GPU? As to say, will the bottleneck become the GPU?

It really depends on the game. But generally speaking that CPU should make the main things holding you back game wise the GPU especially if you OC the CPU.
