I am currently using a i7 940 with it but added a GTX680 vid card and was wondering if I should get a new CPU. Can I use i7 3770k with this MOBO or should I upgrade it and if yes which mobo? (open budget)

Its not really a choice, you must switch motherboards in order to use that CPU. If you have no budget then get this:
http://www.newegg.com/Product/Produc...82E16813157299

Its my favorite motherboard, and if I could I would get it.

The board you have is a socket 1366 while the Intel® Core™ i7-3770K is a socket 1155. So if you were to upgrade to the Intel Core i7-3770K you would want to use a Z77 chipset based board or the P67, Z68 with updated bios to support the 3rd generation Intel Core processors. Also the Intel Core i7-3770K is going to use DDR 3 1333 or 1600 memory at 1.5v.

I'm not ocing the chip, when is haswell coming out? How would I go about overclocking this mobo/chip combo as far as settings go? I use Cooler Master Hyper 212 Plus.

I thought since both chips were LGA1366 (whatever that is) it would be OK to use the same mobo.

Both chips arent 1366, 3770K = 1155. Go into the BIOS and raise the FSB/Multiplier along with voltage. You might need to adjust memory settings to to work with the new FSB.

My bad, anyone know off hand what the multiplier would be to get around 3.5ghz?

I believe that the 940 is multi locked (by greedy intel) so max the multi and see where you are. I dont know what multipliers there are, but I assume if your FSB is 200 then a multi of 12.5/13 would be fine if you can go that high.
