I built a new C2D machine on the ASUS P5N32-E SLI platform a few months ago, and up until a few days ago, it had been running entirely smoothly. Recently (the past couple of days) it had been taking to randomly locking up in Windows (i.e. nothing could move, not even the mouse cursor), and requiring a hard reset. I attempted to Prime95 it overnight, and after a couple hours, it got a single error, and appeared to simultaneously lock up.
I thought it might be a hardware incompatibility with my sound card (since when windows locked up, if it was playing a sound, it would continually repeat the last second or so of what it was playing) so I tried updating my BIOS to the latest version (which, at the time, was 0702) which purported to provide support for the Creative X-Fi cards, then removing my sound card entirely.
Since this appeared to do nothing, I attempted to run MemTest86+ (v1.70) on the system to ensure the memory was still in order. MemTest ran for 1-1/2 passes with no errors before completely locking up (i.e., the time scroller wasn't even ticking anymore, something I have never seen before).
Now, thinking it might be an issue with my motherboard settings after the BIOS flash, I tried completely resetting the CMOS, and ensuring everything was running on default settings. Nothing was overclocked on this machine, so I couldn't imagine what could be off in the BIOS, but I thought it was worth a shot.
Today, things have gotten even worse. Now, when I power on my computer, the fans come on, and my RAID card beeps to say its powering up, but my computer doesn't even appear to be POSTing. One out of five boots, it'll make it into a POST, and I can try to get it into the BIOS, but it usually locks up before I can get there, and otherwise shortly after.
I'm assuming this means my motherboard is bad, but I wanted to check with you all to make sure that this couldn't be an issue with my CPU (since that is the only part I do not have an spare to test against). I wouldn't imagine that a bad CPU could stop a computer from at least POSTing, but I'm not incredibly knowledgeable in this particular area, so I would greatly appreciate your responses.

EDIT: If I turn the machine off and unplug it for a while, I can get it to boot up and last about 10 seconds before locking up again.
