asus P4P8X cmos screwed

Ya I got a new mb / cpu, its asus P4P8X 865P, with the P4 2.4/800fsb. Board and proccessor are made to work togather, but the cmos wont hold the settings when I reboot I have to kill the power and power up from sratch, and it wont load windows unless you load the factory defaults. has error msg. "overclocking failed run set up again" but if i run set up it wont load windows unless you set it to factory default. Any help would be greatly appreacited.
