Asus A8V standby / sleep crashing

My system:

A8V Deluxe Rev 2
AMD 64 3200 Winchester
Artic Coling Silent 64 Cooler (works fine, max 40°C at 1800 rpm)
Infineon 512 MB PC3200 RAMs 3,0 3 3 Timing (dual modules)
Artic Cooling Case Silentium T2 with 350 W PSU
Matrox 10 HD with 200 GB SATA with NCQ connextect to SATA1
NEC DVD-Burner (master)
LG DVD-ROM / CD-Burner Combo (slave)
Matrox G550 Graphics Card with newest drivers (TFT connectect via DVI)
BIOS flashed to 1008

Worked fine, Windows XP with SP2 install was no problem.

Problem:
System ist stable with standard settings for more than 10 hours.
But when going to sleep mode or standby the system brings weird colors
changes screen resolution to 640x480, the matrox driver displays an error warning
and the system hangs. Next time I first have to boot in protexted mode.

Problem2:
CnQ does not work. First it worked but after installing some software
an doing some optimising in BIOS ist will not work anymore.

I changed drivers, BIOS versions ...

But I have now idea what may be the reason bind this.

Maybe a common problem?
