i got some questions..
i am replacing my chipset fan today..
but under the old on there is this cover over the nforce4 chip...

should i leave that there?
also..
should i add some thermal compound?? or leave that stuff that asus shipped with the heatsink

A "cover"? If you're talking about the shiny object in the center of this pic, that is the core of the chip. You can't remove because that is the chip itself.

Don't leave the old compound on the chip. Use alcohol to carefully remove it.

Yes, you must use thermal compound, or at least the thermal pad included on the new heatsink (if present).

I'm thinking about the Zalman passive cooler (the blue one), does it need thermal paste as well?

For replacing the chipset fan of this mobo model, that is.

nah i know about the nforce chip ehhe

there is like a shim or something some plastic thing that is cover that whole picture of what u posted.. and the only thing that is exposed was the core..

Yeah, every heatsink needs thermal compound to be applied on its base.I will also replace it with with the Zalman. Everybody who has bought it are very happy.
