Overclocking I'd say the MSI. Stability.... ASUS makes high quality products, so you should be good with the ASUS. The ASUS isn't bad at all in terms of oc'ing anyways, if you're a hard oc fanatic then look at the DFI LanParty. Do you think i could get 2500-2600Mhz with a Venice 3000+ with Asus A8N-E ? Or should i buy MSI to achieve that ?

A 500-600 mhz overclock? With Venice 3200+, I heard that one review site got a 700mhz overclock WITHOUT CHANGING THE VCORE. Pretty cool. I'm fairly confident you'd be able to pull the 500mhz clock off with the A8N-E, I did it with a 3.0 PresHOTT to 3.6 on an ASUS P4P800-e Deluxe.

But you got to remember, not all CPUs overclock well, it's usually your luck.

Thanks, that sounds very good. I wanted to buy msi k8n neo4 platinum first but then i spent some of the money and now i can choose just between these two motherboards. I think i`ll buy the asus.

One littlie bit of information about the A8N-E, you can mod it to be an SLI board. I first figured this out when I realized that the x4 slot has a videocard lock on it. Also most of today's videocards don't even max out PCI-E x4. The link below gives a little description on the mod with pictures.
