Asus A7V8X new build problems, updated, help please??!!

I just built a new system:

A7V8X
Athlon 2100XP
Antec 350w PSU
Geforce 2 MX400 vid
DVD-Rom
CD-RW
Western Digital 80g 7200rpm

That is all that is hooked up in the box.

When trying to format the drive and load Win 2k Pro I keep getting an error saying "stop error, some other (long #) is alreay using this resourse"

Then often the whole thing just freezes and shuts down in the middle of an install.

I can't figure out what could be causing this. BIOS is all set to default, no overclocking.

MS website said to shut off cache in bios but that didn't solve the problem.

Any help or suggestion would be MUCH appreciated!!

Ok... here is the update.

I set the memory timings manually in the BIOS and all of the sudden I got through the install of Win2k without a hitch. I thought everything was great but...

As soon as I try to install any drivers (4 in 1, ethernet, vid, audio etc.), it just shuts off completely. No shutdown or anything, just boom... off and the drivers were not installed. Same thing. Then I have to hold the power button for 10 seconds to reset, then I can finally reboot. I've tried automatic install and manual driver install. I've just rebooted more than I ever have in my life. I'm getting very frustrated with this board.

Any other suggestions would be highly appreciated.

Its hard to tell when it is actually shuting down. Does it post, then go into windows ok? Are you getting any post alarms(irregular beeps when starting). Also what memory are you using and is it set for the right speed in bios? What are your temps like too?
 
Bump.

No, no beep or stop errors and temp is fine.

Anyone have any suggestions? I'm guessing I need to return the motherboard. I've replaced memory and vid card. This looks like it could be a PSU problem but I have a hard time believing it could get through an hour of install without having a PSU error and then go kaput every time I try to install a driver.

Should I go ahead and return the mobo?
