Asus A7V880 problems (have tried many things)

I have an Asus A7V880 with Corsair XMS Extreme (2x512) PC3200, an AMD Athlon XP Barton 3200+ and an ATI 9800Pro w/ 256mb Vram also have Seagate Barracuda 7200.7 160gb Sata harddrive. I have 2x120mm and 2x80mm fans in the case to give some amazing airflow (temps tell all, when underclocked a hair, CPU shows 31c and board shows 41c). CoolerMaster RealPower 450w PSU.

Here's the problem though... when the computer is at stock settings (RAM 3-4-4-9, (200x2)fsb 3200+ @2.2GHz... the system crashes when running SiSoft's burnin wizard after just a couple of runs.

I have tried the following:

-switched out the ram with another pair of the same type (didn't work)
-overclocked the RAM down to 2.5-4-3-7 (it got about 11 runs in sisoft and then crashed)
-took all peripherals out including all PCI, Burners, usb drives. (didn't change a thing and still crashed

-checked the processor to make sure that the hsf was correctly installed (it was correctly installed)

-replaced the a7v880 with a a7v600 that I had from an older pc. (It booted up I overclocked the CPU to 2.54 Ghz with all peripherals installed and got the RAM down to 2.5-3-3-6... smoked the burnin wizard when it finished at 999 runs in sisoft and max temp on the cpu is 39c

-I've called Asus and they told me that there was a possible ground issue on the board(so I changed the screws on the board so that I made sure that I wouldn't contact the outlying circuits, and before that I made sure that all standoffs were in the correct places (which they were))

If anyone has any suggestions it would be greatly appreciated. I have worked on this solid for several days and a solution would be wonderful. Thank you to all future respondees.
