Asrock MB to keep Gainward 7800GS Golden sample + Corsair DRR 400 RAM

I am currently running:

XP Pro
Athlon XP 3200 (2200 MHz)
Epox EP_8RDA6+ Pro (6 PCI, 1AGP, 3DDR DIMM, Giogabit LAN, nForce2 Ultra 400, 1 MB PC3200 DDR SDRAM XMS CMX512-3200 x 2(Corsair Twinx 1024 3200C2PT matched pair @ 200 MHz 3.0-3-3-8 (CL-RCD-RP-RAS) / 12-14-2 (RC-RFC-RRD) 1T command rate
couple of Samsung 250GB internal SATA I, 1 external Samsung 500GB SATA II, 1 external 250GB WD SATA II,
LG DVD writer internal IDE
Sony floppy internal
Dell 2470WFP 24""
Gainward 7800GS 512MB "Golden Sample", G71GSAGP AGP8 defaults of 400MHz Core clock and 500MHz Memory clock ; enhanced of 450/625 and Max possible 500/700
I also have 1GB of Corsair "value select" 2 x 512MB modules VS512MB400C3 unused on hand.

This system will run Oblivion and Stalker, my only games, at reasonable quality and decent speed on my Dell 24", but Stalker sometimes slows down somewhat. Video transcoding seems a bit slow (with Nero 8 anyway)

I would like to upgrade, and was thinking of keeping my 7800GS, since I think this setup is limiting it would the Asrock 4-Core Dual Sata 2 be an appropriate choice ? If the presently available RAM is thouht too limiting, I would get rid of it and go for DDR2, in that case what would be a good choice for the Asrock Mb ? I assume I would probably go for a newer Intel CPU, would an E7200 be a good choice, or something better ? A quad core ?

If not the 4-core dual, I could go to an AM2NF3-VSTA + Athlon 5000 Black Edition with a view to overclocking, as it will also take my 7800GS and give 5PCI slots.

All suggestions would be greatly appreciated
