Thanks for the tip, but I dont even use keyboard shortcuts. I just use the minimize button in the quicklaunch bar of winxp.
That's the same as pressing WinKey + D ...... so it'll get everything out of the screen. The systray option, with always-on-top disabled is the best idea. Just a single click on the winamp button and it'll pop up. Minimize it and it'll be off the screen

I dont know how to say it clearer but this is not what I want. Im trying to find a solution that will let me have winamp "pinned" to the desktop-always maximized but not on top of other windows. Im I just not making sense here?

After LordJezo's informative post I actually saw that, but I cant get it to work for the life of me. :/
