I am thinking of a cheap upgrade / fix because my MB is dead :-(. Even using used parts are fine. I only want to upgrade my CPU and MB. I am thinking of getting an used 939 MB with a X2 CPU or just Athlon 64. If there is any AM2 + AGP + DDR1, please let me know too.

What's the best 939 +AGP + DDR1 + 4xIDE MOTHERBOARD in the old day? If the motherboard comes with overclock ability would be great too!

Which 939 CPU is most overclockable?

This is my current rig:

AMD Athlon 64 3200+ (754)
MSI NEO FIS2R MB
ATI X800 AIW (AGP)
1GB Crucial DDR500 Ballistix PC4000 x 1
1 DVD RW
1 120GB HD (IDE)
2 x 160GB HD(IDE) -- raid 0

or should I just keep my 3200 and get a new 754 MB as replacement?

um...why do you want to upgrade from 754 to 939? the only thing you would be able to benefit from is the ability to upgrade to a dual core processor. if your rig is too slow and your processor won't oc, just pick up a 754 venice from the egg (i think they're selling the 3200 for like $35 or something like that). if you want dual core, just wait until you can afford a total overhaul because there's no point in going from 754 to 939, especially if you just get a single core processor for the 939.

Stay on socket 754 or do a full upgrade. It's practically impossible to find AGP socket 939 boards that aren't crap now. Also, you have to match up the DDR to run in dual channel on socket 939. You might as well get a new video card and DDR2 and get an E4300 combo at that point.

I'm also looking for car that gets gas mileage like a Prius, looks exactly like a Ferrari and cost as much as a Yugo. Just kidding here. But those motherboards are few and far in between nowadays and even fewer of them are very OC friendly. You should look on ebay for a ASRock 939Dual-VSTA. But the X2 939 chips are getting pricey nowadays.

Better yet get yourself a ASRock 4CoreDual-VSTA from Newegg for $62 then a cheapo E2140 for $84 and be done with it. You can use your current AGP/DDR but you'll get some upgrade options since the mobo will handle DDR2 and PCI-E. You'll be able to do modest OCing too.
