any physical difference between T-bird 1.2 200fsb and 266

What is the real physical difference between T-bird 1.2 200fsb and the 266fsb cpu. I wonder if it is the same chip?

Technically yes, it is physically different. The tiny bridges are connected differently, but thats it. It's the same exact core.

so a 200 overclocked to 266 should be the same?
l2 cache is the same?

Yes from what I have seen and heard ...a 1200/100 fsb changed to 9 x 133 will perform same as 133fsb 1200
