The cores are pretty much the same, it's the rest of the CPU that's slightly different.
1. Opterons require Registered Memory...about 1% slower, but more stable.
2. Opterons have additional HT links inside to allow for more than one CPU (the HT links communicate directly with other Opterons rather than needing to go through a FSB)
3. Opterons are 940 pins (an extra pin for the registered memory)
That's about it...
Edit: Remember that you can't have more than one X2 on a mobo, but there are 8-CPU mobos already for the Opteron, and a 16-CPU is scheduled for release soon...that's up to 32 cores.
Also, memory is allocated per CPU...so you can have up to 4 Dimms per populated CPU socket (e.g. a 4P mobo can have 16 Dimms on it)
