AMD Duron 800 and Asus A7V-E

I want to buy a new motherboard and CPU. At the moment I have a Celeron 466 and I need to replace the motherboard in any case. I'm thinking of getting an AMD Duron 800 with an Asus A7V-E motherboard as this is the configuration that will best suit my budget. Please let me know what you think.

Is it worth the upgrade?
Will it be better than my old Celeron 466?
Is this a good configuration (CPU and Motherboard)?

it will defintiely be better than that celeron system you got now, i'm not real familiar with the k133E chipset, but ive had a7v and a7v133's and they were solid.. so ya it should be just fine .. whats a duron 800 goin for now? like 60bucks? ..

Durons make a nice budget system and the Asus is a very stable board. You will notice quite a performance increase.
