Actually, in both cases: no. If you bought a retail version though it comes with a heatsync/fan and a thermal pad on the heat sync. The OEM version contains just the CPU (and a shorter warranty).

The thermal pad melts a bit & is used the same way grease would be. Though it is much more difficult to take off once it's been burned in.

It's heat sink: A protective device that absorbs and dissipates the excess heat generated by a system.
It's not trying to "synchronize" with the CPU, just help remove the heat.

Not sure about Intel, but I know AMD does. And yes the pad works great.
 
They used to come with a piece of blue vinyl tape over it, but now they just have a plastic shield over it. Set the CPU in the socket and lock in place. Remove the plastic piece from the HSF and place it on top of the CPU and lock in place. If you've never done it before, do this with the MB outside the case. With the new locking mechanism, it is now much easier than in the past.
