amd 3200+ xp crashing, please help diagnose...

I just built a 3200 xp+ on an asus deluxe nforce 2 board.
1 gig of kingston value ram.
9800 pro
400 watt psu160 gb hard drive

I began getting reboots at odd times, hard reboots.
I replaced the psu with a 500 watt.
I rma'd the ram and got brand new ram from newegg.
I had a friend run the 3200 on his pc for a few days no problems.
I put the 3200 back in and crashes were stopped until I began playing games. When playing call of duty I now get crashes to the desktop and an occasional hard reboot. It usually happens just when the 3d starts to really kick in, like when new enemies appear or lots of explosions at once. I thought it was the 9800pro, but I switched to a 9500pro and still the same thing. I got the 3200 on ebay and I have suspected it may be the culprit, but maybe now it kind of looks like either I have my temp shutoff set too high or the case isnt cool enough. I have friends running the same setup, case, vid card, psu, etc and no problems. Any ideas? I really dont want to move to a 64bit yet, but the frustration is killing me.
