AI7 Problems!!

I have an AI7 w/a 2.4c @ 3 gig cooled w/a Zalman CNPS7000A. (See "my rig" for system details, if needed)
My problem is that occasionally, it starts in making some kinda racket that sounds like a European police siren. It obviously stops when it's shut down, but starts in again when pc is started back up. The only way I can get it to quit is to go into Abit uGuru & then into Abit EQ.
The system is running cool, thanks to the Zalman, an Artic Cooling unit on my 9700 pro, a 120mm intake & exhaust, a 92mm blowing on the back side of my case, and a 92mm side exhaust (Thanks to Jim @ Coolcases.com)
Does anyone have any idea of what's causing this and how to stop it? Like I said, it doesn't happen all the time...just once every couple of weeks.

According to the temps in the Abit EQ: CPU 38c, PWM 36c, SYS 32c. I don't know if these are considered too high or not.
This is in my somewhat warm office & the machine on 24/7.

Those temps are fine....please list the timings you are running the memory at, FSB, divider, etc. I suspect your Memory, but could be wrong.

Mem timings: 2,5,3,3 (By Spd)
FSB: 255
Divider: 5:4
CPU voltage: 1.525
DDR voltage: 2.70
Game Accelerator: Auto, auto, auto, disabled, disabled
