go for the EP-8KHA+. ddr333 on the 8k3a+ gives you a very minimal performance increase, so it'd be best to save ~$20 for another part of your comp. i probably suggest a geforce3 ti-200. i gf4 is seriously overkill for a lot of games but if you need that kind of power, then go for a gf4. for a HSF, i suggested the alpha 8045. it offers pretty decent cooling with even quiet low output 80mm fans. i would personally go for the 400w psu because you never know what you're gonna add onto your system later. 300w would work, but i like to have extra buffer. i have the logitech z560's and they sound great with the philips acoustic edge. it's because the acoustic edge is able to take 2.1 media streams and turn them into 4.1 or 5.1 streams. so when you play mp3s, the rears will sound differently from the front, and will give you a more surround sound. the z560's can do this with the M3D feature, but i prefer the sound of the acoustic edge because it's richer and fuller.

Isn't the 8KHA+ a problem with GF4s? The placement of something near the AGP slot...doesn't fit right?

<< why don't you try Asus A7V 333? it's feature packed. >>

I've worked with an Asus motherboard before, i must say, they are nice boards but i wanted to try a difference board. never worked with an Epox board and i've heard lots of good things about them.
