It stands about 5 inches above the mobo cpu socket. If you have 5 inches of clearance you will be just OK.

what kind of cpu you using for that case? since you going for mATX, so i assumed nothing too high end, so your temp shouldnt be too high, and from my experience, mATX case what really matters most is the case flow, having a good cooler without good air flow to remove the heat isnt any better than stock cooler. and this cooler is specially made for mATX case, and has good reviews >> Scythe Ninja Mini Cooler ( http://www.pccasegear.com/prod5787.htm )

Got a E4400+ @ 3Ghz with default voltages. Just got the ACFP7 so I would be loathe to get the Mini Ninja, especially considering the cost. The AC just cost $25 shipped.

The Thermalright Ultra-90 is $25 shipped at some stores, you'll have to buy a fan for it but I think it's worth the extra ~$8.

just to add in that the website i refer to is in australian dollar, so you might need to convert the currency. so if in us dollar or in us vender should cost cheaper.
